These Terms of Service ("Terms") form a legally binding agreement between you and Nostify, including its affiliates and successors (collectively, "Company," "we," "us," or "our"), governing your access to and use of our websites, mobile applications, APIs, and related services (collectively, the "Services"). If you do not agree, do not use the Services.
1. Eligibility and Authority
You represent that you are legally capable of entering into these Terms and, if acting for an entity, that you have authority to bind that entity. You must comply with all applicable laws, sanctions, and export controls.
2. Account Registration and Security
You are responsible for accurate account information, credential confidentiality, and all activities under your account. We may require identity verification, multifactor authentication, or additional checks to mitigate abuse and fraud.
3. License Grant and Service Access
Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to use the Services for lawful internal purposes. No ownership rights are transferred.
4. Prohibited Conduct
- Reverse engineering, scraping, unauthorized automation, or bypassing technical restrictions.
- Security probing, malware distribution, denial-of-service activity, or unauthorized access attempts.
- Infringing intellectual property, privacy, publicity, or other legal rights.
- Using the Services for unlawful, deceptive, abusive, or high-risk prohibited purposes.
- Reselling, sublicensing, or commercially exploiting the Services unless expressly authorized in writing.
5. User Content and Inputs
You are solely responsible for all data, files, prompts, media, and other content you upload, submit, or generate through the Services ("User Content"). You represent that you have all rights and permissions required for that content.
6. Rights You Grant to Us
You grant us and our subprocessors a worldwide, royalty-free, non-exclusive license to host, store, process, reproduce, adapt, and transmit User Content solely to operate, secure, improve, and provide the Services, enforce legal rights, and comply with law.
7. Subscriptions, Billing, and Taxes
Paid features may require a subscription. Pricing, billing periods, trial terms, and renewal conditions are displayed at purchase time. Purchases made via app stores are subject to their billing systems and policies. You are responsible for applicable taxes, duties, and fees.
8. Renewal, Cancellation, and Refunds
Subscriptions may auto-renew unless canceled before the renewal date under the relevant platform rules. Except where required by law or store policy, fees are non-refundable and non-creditable for partial periods or unused features.
9. Service Availability and Changes
We may add, remove, modify, suspend, or discontinue any feature at any time without liability. We do not guarantee uptime, backward compatibility, uninterrupted access, or availability in all jurisdictions.
10. Beta, Experimental, and AI-Generated Features
Experimental features may be incomplete, unstable, or unavailable. Outputs and recommendations may be inaccurate, incomplete, or unsuitable for your purpose. You must independently verify outputs before relying on them.
11. Third-Party Services
The Services may interoperate with third-party platforms, APIs, or websites. We are not responsible for third-party availability, performance, security, policies, or content, and we disclaim liability arising from third-party acts or omissions.
12. Intellectual Property
All rights, title, and interest in and to the Services, including software, UI, trademarks, logos, documentation, and underlying technology, remain with the Company or its licensors. Except as expressly granted, no rights are granted by implication, estoppel, or otherwise.
13. Feedback License
If you provide suggestions, ideas, or feedback, you grant us a perpetual, irrevocable, transferable, sublicensable, worldwide, royalty-free right to use and exploit that feedback for any lawful purpose without compensation or attribution.
14. Suspension and Termination
We may suspend or terminate access immediately, with or without notice, for suspected violations, security risks, legal exposure, non-payment, fraud, abusive behavior, or operational necessity. Termination does not limit rights or remedies accrued before termination.
15. Disclaimers
To the maximum extent permitted by law, the Services are provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, title, non-infringement, quiet enjoyment, data accuracy, security, uninterrupted use, or error-free operation.
16. Limitation of Liability
To the maximum extent permitted by law, in no event will the Company, its affiliates, officers, employees, licensors, suppliers, or agents be liable for indirect, incidental, consequential, special, exemplary, punitive, or lost-profit damages, or for loss of data, goodwill, business interruption, or procurement of substitute services, even if advised of the possibility of such damages. Our aggregate liability for all claims arising from or related to the Services will not exceed the greater of (a) amounts paid by you to us for the Services in the 12 months before the event giving rise to the claim, or (b) USD 100.
17. Indemnification
You agree to defend, indemnify, and hold harmless the Company and its affiliates, officers, employees, and agents from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to your use of the Services, User Content, violation of these Terms, or infringement/misappropriation of third-party rights.
18. Dispute Resolution, Arbitration, and Class Waiver
To the fullest extent allowed by law, disputes arising out of or relating to these Terms or the Services will be resolved through binding, individual arbitration rather than court litigation, except claims eligible for small-claims court and requests for injunctive relief. You and the Company waive any right to jury trial and any right to participate in class, collective, representative, or consolidated actions. If mandatory law in your jurisdiction prohibits arbitration or these waivers, those provisions apply only to the minimum required extent.
19. Governing Law and Venue
These Terms are governed by applicable laws determined by the Company's principal place of business, excluding conflict-of-law rules where prohibited. For matters not subject to arbitration, you consent to competent courts selected by the Company, unless non-waivable consumer law requires otherwise.
20. Force Majeure
We are not liable for delays, failures, or performance interruptions caused by events beyond reasonable control, including natural disasters, network failures, utility outages, labor disputes, cyberattacks, government actions, epidemics, or war.
21. Assignment and Transfer
We may assign or transfer these Terms and related rights in connection with merger, acquisition, reorganization, asset sale, financing, or by operation of law. You may not assign rights or obligations without prior written consent.
22. Severability and No Waiver
If any provision is held unenforceable, the remaining provisions remain in full force. Failure to enforce any provision is not a waiver. Remedies are cumulative unless expressly stated otherwise.
23. Changes to These Terms
We may update these Terms at any time. Updated Terms become effective upon posting unless a later date is stated. Continued use after the effective date constitutes acceptance of the revised Terms.
